Terms & Policies

The terms governing the website, InspireBoard™, InspireLab™, quotations, orders, installation and support.

These Terms & Policies (the "Terms") are an agreement between you and, if you act for a school, organisation or other entity, that entity ("you" or "Customer") and Juana Technologies Pvt. Ltd. ("Juana", "we", "us" or "our"). They govern use of this website and the InspireBoard™ interactive-display and InspireLab™ computer-lab products, demonstrations, quotations, orders, installation, training, maintenance and support services we provide (collectively, the "Products and Services").

By accessing the website, accepting a quotation or order, or purchasing or using Products and Services, you agree to these Terms. If you do not agree, do not use the website or Products and Services. A signed agreement, accepted quotation or purchase order may contain additional terms; where it expressly conflicts with these Terms, the specifically agreed written term will control.

1. Definitions

"InspireBoard" means Juana's interactive-display solution and associated software, accessories, installation, training and support described in the applicable quotation. "InspireLab" means Juana's centrally managed computer-lab solution, including applicable server, thin-client, networking, display, management, installation, training and support components described in the applicable quotation. "Order" means an accepted quotation, purchase order, contract or other written order confirmation.

2. Eligibility and authority

You represent that you are at least 18 years old and have authority to accept these Terms. If acting for an institution, you represent that you are authorised to bind it. The Products and Services are primarily intended for schools, educational institutions, governments, NGOs and businesses.

3. Website information and quotations

Website content, product descriptions, specifications, images, comparisons, savings figures, ROI estimates and availability are general information and do not constitute a binding offer. Actual configurations, performance, compatibility, delivery dates and outcomes vary by site and requirements. Only an accepted written quotation or Order confirms the scope, configuration, price, taxes, delivery, installation, warranty, support and other commitments.

4. Products and Services

We provide the Products and Services with reasonable skill and care. The precise hardware, software, accessories, installation, training, service levels and support inclusions are those stated in the Order. We may use equivalent or improved components where the specified item is unavailable, subject to the Order and without materially reducing the agreed functionality.

Some functionality depends on electricity, network connectivity, third-party operating systems, applications, content, devices or cloud services that we do not own or control. We do not warrant uninterrupted or error-free operation of third-party systems.

5. Orders, pricing and taxes

Prices are those stated in the applicable quotation or Order and, unless expressly stated otherwise, exclude applicable taxes, delivery, site preparation, civil or electrical work and third-party fees. For customers in India, GST is charged at the applicable rate. Quotations are valid for the period stated and may be revised after expiry due to component availability, supplier pricing, taxes, duties, freight or currency changes.

6. Payment, cancellation and refunds

Payment milestones and due dates are stated in the Order. If payment is late, we may pause procurement, delivery, installation or support after reasonable notice. Customer cancellation, returns and refunds are governed by the Order, applicable warranty terms and mandatory law. Custom-configured, installed, activated or specially procured hardware, software and licences may be non-cancellable and non-refundable once procurement or work has begun, except where law requires otherwise.

7. Delivery, installation and site readiness

Delivery and installation dates are estimates unless expressly guaranteed in writing. You must provide safe access, authorised representatives and a site that meets the electrical, networking, ventilation, mounting, furniture, security and other readiness requirements communicated for InspireBoard or InspireLab. Delays or additional work caused by site conditions, restricted access, inaccurate information or dependencies outside our control may affect timing and cost.

8. Customer responsibilities

You agree to provide accurate requirements and information; inspect deliveries and promptly report visible damage or shortages; use Products and Services according to documentation and safety instructions; maintain suitable power, networking, environmental and physical-security conditions; preserve serial numbers and warranty labels; keep appropriate backups; use properly licensed third-party software and content; designate authorised contacts; and obtain any institutional, privacy, parental or other consents required for your use.

9. Warranty and support

Product warranties, exclusions, response targets, support periods and remedies are those in the Order, warranty document or applicable manufacturer's terms. Unless required by law or stated otherwise, warranty does not cover misuse, accidents, unauthorised modification or repair, incompatible third-party equipment or software, improper site conditions, electrical fluctuation, network failure, normal wear, force-majeure events or failure to follow instructions. A warranty claim may require proof of purchase, serial number and reasonable diagnostic access.

10. Acceptable use

You must not use the website or Products and Services unlawfully; infringe intellectual-property, privacy or other rights; introduce malware; bypass security or management controls; gain unauthorised access; disrupt systems or networks; submit false enquiries; resell or sublicense proprietary software or Services without permission; or store or transmit unlawful, harmful or objectionable content. We may restrict support or access where conduct creates a material security, legal, safety or operational risk.

11. Intellectual property

The website, product materials, software and management tools supplied by Juana, content, designs, documentation, and trademarks including Juana, InspireBoard™ and InspireLab™ are owned by Juana or its licensors and protected by law. Subject to the Order, we grant the Customer a limited, non-exclusive, non-transferable right to use supplied software and documentation internally with the purchased Products. No ownership transfers except ownership of hardware expressly sold under the Order. Third-party software remains subject to its own licence terms.

You retain ownership of your institutional data and content.

12. Microsoft and other third-party products

Microsoft software and services are not included unless expressly listed in the Order. The Customer is responsible for acquiring and maintaining all licences required for its configuration and users. A Windows Server remote-desktop deployment may require Windows Server core licences, Windows Server Client Access Licences (CALs) and Remote Desktop Services CALs or equivalent access licences for each relevant user or device. Microsoft 365, Office, Windows desktop, Azure and other products have separate eligibility, assignment, virtualization, shared-use and access rules. Existing licences may be reused only where their applicable terms expressly permit.

Microsoft products remain governed by the Customer's applicable Microsoft agreement, the then-current Microsoft Product Terms, relevant Microsoft licensing documents, the applicable Microsoft Products and Services Data Protection Addendum, and the Microsoft Privacy Statement. Microsoft may change products, availability, pricing, use rights, privacy practices and technical requirements. Juana can assist with solution design and licence sourcing where stated in an Order but does not grant Microsoft use rights or warrant Microsoft's products.

Juana's status as a Microsoft Global Training Partner and Microsoft Cloud Solutions Partner describes Juana's relationship with Microsoft; it does not mean Microsoft manufactures, sells, endorses or warrants InspireBoard™ or InspireLab™. Microsoft, Windows, Microsoft 365, Office, Hyper-V and Remote Desktop Services are trademarks of the Microsoft group of companies. Other third-party names belong to their respective owners.

13. Confidentiality

Each party will protect the other's confidential information with reasonable care, use it only for the relevant transaction or service, and disclose it only to personnel and advisers who need it and are subject to confidentiality duties, or where disclosure is required by law.

14. Data protection

Our handling of personal data is described in our Privacy Policy, incorporated into these Terms. If an agreed Service requires us to process staff or student data for a school, the school remains the data fiduciary or controller and is responsible for lawful instructions, notices and consents. We process such data only to provide the agreed Service and subject to applicable data-protection terms.

15. Warranties and disclaimers

Except for warranties expressly stated in an Order, warranty document or mandatory law, the website and Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim other express, implied or statutory warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee particular learning, financial, energy-saving or operational outcomes.

16. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive loss, or loss of profits, revenue, data, goodwill or anticipated savings. Juana's total aggregate liability arising from an affected Product or Service will not exceed the amount paid to Juana for that affected Product or Service under the relevant Order. Nothing excludes liability that cannot lawfully be excluded.

17. Indemnity

To the extent permitted by law, you agree to indemnify Juana and its officers, employees and agents against third-party claims, damages, liabilities, costs and reasonable legal fees arising from your unlawful misuse of the Products and Services, breach of these Terms, or infringement of a third party's rights.

18. Suspension and termination

We may suspend an affected Service or support obligation after reasonable notice if you materially breach these Terms or an Order, fail to pay undisputed fees when due, or create a serious legal, security or safety risk. Termination rights and effects are governed by the Order. Terms intended to survive, including intellectual property, confidentiality, liability and governing law, remain effective.

19. Force majeure

Neither party is liable for delay or failure, other than payment obligations, caused by events beyond reasonable control, including natural disasters, epidemics, war, civil unrest, government action, import or supply restrictions, strikes, transport disruption, telecommunications or internet failure, third-party platform failure, or power outages.

20. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory rights that apply to you, courts in New Delhi, India have exclusive jurisdiction. The parties will first attempt in good faith to resolve disputes amicably.

21. Changes and general terms

We may update these Terms and will revise the date above. Changes apply when posted to future website use and future transactions; they do not retrospectively alter a signed Order unless agreed or required by law. These Terms, the Privacy Policy and applicable Order form the agreement on their subject matter. If a provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. Assignment requires consent, except that we may assign in connection with a merger, acquisition, restructuring or sale of assets.
